王健林在1月20日的公司年會上宣布,2011年,萬達集團總資產(chǎn)1950億元,同比增長40%;收入1051億元,同比增長43%。其中,萬達商業(yè)地產(chǎn)公司收入953億元,同比增長36.5%。

由于2010年資本市場的低迷和房地產(chǎn)行業(yè)的宏觀調(diào)控,導(dǎo)致這一計劃一再推遲。2月1日,證監(jiān)會突然公布IPO申報企業(yè)信息,讓萬達集團又一次看到了上市的曙光。

該負責人解釋說,目前公布所有在審IPO企業(yè)名單,是為了提高市場透明度,其中包括這三家房地產(chǎn)企業(yè),與房地產(chǎn)企業(yè)融資申請重新開閘沒有關(guān)系。萬達商業(yè)地產(chǎn)的上市計劃,又一次陷入了僵局。
萬達商業(yè)地產(chǎn)至今也未公布IPO招股說明書,雖然早在2010年4月初,其官網(wǎng)便完成了改版,增加了投資者關(guān)系等上市公司欄目,但“投資者關(guān)系”欄目目前仍處于“待建”狀態(tài),公布的聯(lián)系電話也始終無人接聽。
萬達集團內(nèi)部對于上市也噤若寒蟬,當記者詢問上市進展時,萬達集團企業(yè)文化部原總經(jīng)理石雪清情緒低落地說,“我已經(jīng)不是企化部總經(jīng)理了,你找陳志平吧!”而萬達集團企業(yè)文化部副總經(jīng)理陳志平直接稱:“我無可奉告,我沒資格說,我也不了解!”
萬達集團企業(yè)文化部新任命、尚處于交接狀態(tài)的總經(jīng)理劉明勝則表示:“我們不允許接受采訪,所以現(xiàn)在我也不方便說這個事!
但他透露,“因為過去證監(jiān)會沒有公布IPO企業(yè)名單,現(xiàn)在它只是個預(yù)披露,相當于提前預(yù)公布了一下,這次可能要IPO的企業(yè)名單”。
按照證監(jiān)會公布的IPO申請程序,IPO審核工作流程主要分為受理、見面會、問核、反饋會、預(yù)先披露、初審會、發(fā)審會、封卷、會后事項、核準發(fā)行等10個環(huán)節(jié),目前萬達商業(yè)地產(chǎn)進展到第6道程序“初審”。
陳建明和全經(jīng)聯(lián)研究院副院長陳寶存均表示,在樓市宏觀調(diào)控政策收緊的大背景下,萬達商業(yè)地產(chǎn)在短期內(nèi)上市,仍比較困難。
2015年成為全球不動產(chǎn)老大
“萬達的商業(yè)模式是快買、快干、快竣工,不需要囤地,不需要通過土地升值來獲取利潤。”王健林在1月20日的萬達集團公司年會上依然如此宣稱。
但“快速擴張”的商業(yè)地產(chǎn)模式,也讓萬達吃了不少苦頭。早在2003年,央行啟動對房地產(chǎn)行業(yè)的宏觀調(diào)控,頒布震動業(yè)內(nèi)的“121號文”,規(guī)定開發(fā)企業(yè)申請銀行貸款,其自有資金應(yīng)不低于開發(fā)項目總投資的30%。
這對專注于商業(yè)地產(chǎn)的萬達帶來了“致命打擊”,“萬達2004年憋得夠戧,差點沒挺過去!蓖踅×衷诮邮苊襟w采訪時坦言。資金壓力讓王健林不得不開始考慮融資的問題,早在2005年初,萬達便期望能夠在境外IPO。
2005年,香港REITS(房地產(chǎn)投資信托基金)上市大門開啟,萬達的“訂單商業(yè)地產(chǎn)”模式逐漸企穩(wěn),便引入澳大利亞麥格理銀行作為戰(zhàn)略投資者。
2005年7月,麥格理銀行以5000萬美元和3800萬美元優(yōu)先債的代價持有萬達9家商業(yè)廣場28%的股權(quán),這9家商業(yè)廣場,正是當時萬達REITs擬上市的主要資產(chǎn)。雙方約定合資成立商業(yè)管理公司,將萬達9家商業(yè)廣場打包到境外發(fā)行REITs,募集目標在10億美元以上。2005年底,萬達REITs招股文件在香港獲通過。按照當時的進程,萬達REITs極有可能成為內(nèi)地繼越秀基金之后,赴港上市的第二只REITs。
但2006年7月,國家部委聯(lián)合下發(fā)嚴格限制境外公司收購內(nèi)地物業(yè)的“171號文”,萬達麥格理REITs計劃被迫擱淺。
上市不成,只能另謀出路。2006年9月,麥格理銀行通過發(fā)行CMBS(即商業(yè)房地產(chǎn)抵押貸款支持證券)為萬達在海外募集了1.45億美元資金,這也是首筆涉及中國內(nèi)地商業(yè)地產(chǎn)的資產(chǎn)證券化項目。但這筆資金對處于高速擴張、資金需求巨大的萬達而言,只不過是杯水車薪。2007年,王健林開始考慮讓萬達在國內(nèi)A股上市。
在2008年底樓市處于冰點之際,萬達開始上演圈地運動,并將圈來的土地作為上市籌碼,先后在成都、上海、唐山等城市連續(xù)出手,僅2008年第四季度便投入了50多億元用于增加項目儲備。2009年,則在武漢、吉林、天津、長春、合肥、福州等城市先后投下巨資。這也被市場解讀為是萬達希望在資本市場上用圈來的地作為價值砝碼,希望融到更多的資金。這是以前,其他地產(chǎn)公司上市前慣用的套路。
2009年初,萬達引入建銀國際(天津)資本管理有限公司(以下簡稱為“建銀國際”)作為基石投資者,并同時啟動萬達集團的股份制改造。
2009年8月,萬達商業(yè)地產(chǎn)便完成了第二輪私募,建銀國際、華控產(chǎn)業(yè)基金等三家投資機構(gòu)、三家民營企業(yè)和投資人張大中最終獲配。兩輪私募合計募集資金超過40億元,第二次私募的價格更高達每股17元,無論是資金規(guī)模還是認購價格,均創(chuàng)下中國民營企業(yè)內(nèi)地私募之最。
兩輪私募完成后,萬達集團將10%-13%的股權(quán)出讓給了私募的投資者。在完成私募后一年,萬達的發(fā)展更加突發(fā)猛進。僅2010年上半年萬達合同銷售面積就達到278.8萬平方米,合同銷售金額334.4億元,同比增長超過200%;現(xiàn)金回款金額271.1億元,同比增長285%。
然而,2010年4月,又一輪樓市調(diào)控風暴開始實施,A股涉及房地產(chǎn)業(yè)務(wù)的上市公司再融資申請均需征求國土資源部意見,房地產(chǎn)企業(yè)IPO閘門也基本被關(guān)上。

萬達也繼續(xù)開始大張旗鼓地跑馬圈地,王健林在年會上高調(diào)宣布,2012年,萬達商業(yè)地產(chǎn)公司新增持有物業(yè)面積達380萬平方米,到今年年底,萬達累計持有物業(yè)面積約1300萬平方米,位列全球不動產(chǎn)行業(yè)第四,2013年持有物業(yè)面積近1700萬平方米,成為全球不動產(chǎn)行業(yè)第二。
“按目前速度發(fā)展下去,萬達的不動產(chǎn)規(guī)模將在2015年超過排名第一的美國西蒙公司,成為全球不動產(chǎn)行業(yè)的老大!蓖踅×秩绱苏雇。萬達2015年目標是:資產(chǎn)3000億元,年收入2000億元,年納稅300億元,成為世界一流企業(yè)。同時,他宣布,“10年之內(nèi)萬達要成為真正的跨國企業(yè)”,并且今年要邁出實質(zhì)性步伐,萬達的跨國發(fā)展以并購相關(guān)業(yè)務(wù)為主,并不會自己去國外買地搞建設(shè),也不搞跨業(yè)務(wù)并購。
管理問題凸顯人才短板
然而,在高速擴張的背后,萬達集團也潛藏著一些風險,除資金壓力之外,管理問題也日益顯現(xiàn)。
萬達集團官網(wǎng)信息顯示,萬達集團已在全國開業(yè)49座萬達廣場、26家五星級酒店、730塊電影銀幕、40家百貨店、45家量販KTV。如此龐大的公司,且項目遍布全國各地,必然需要龐大的員工群體來支撐。在年會上,王健林也高調(diào)宣布,2011年萬達集團新招聘員工15713人,其中大學生5825人,全集團員工總數(shù)達46757人。萬達員工平均年齡28.1歲,高管平均年齡39.4歲。
面對高達4.6萬多名的員工團隊,對于萬達內(nèi)部的管理能力提出了巨大的挑戰(zhàn)。雖然去年萬達組織了近3萬次的員工培訓,但2011年萬達還是下發(fā)了174份的整改通知書,對26名違規(guī)和檢查不合格的責任人進行了處罰。
同時王健林宣布,2011年萬達完成審計113次,下發(fā)整改通知書44份,處理違規(guī)員工43人,其中移交司法追究刑事責任1人,除名23人。其中萬達長白山項目公司原營銷副總李儂涉嫌舞弊,北京項目公司原營銷策劃主管羅榮生涉嫌職務(wù)侵占。
“特別嚴重的是羅榮生,自己注冊廣告公司,跟北京項目公司簽訂廣告協(xié)議,而且廣告沒有完全真實投放。”王健林稱。隨后,審計部接到舉報,并向公安機關(guān)報案,“目前此人已被正式批捕,很快要追究刑事責任”。
“他的上級營銷副總聞聽此訊,嚇得跑到美國,有沒有問題,待以后查清再說!蓖踅×终f,羅榮生編造了200多萬元的假電視廣告合同,這個合同能審核通過,總經(jīng)理、財務(wù)都有責任。
對于管理漏洞,王健林表示,今后要加強對銷售、財務(wù)、招商、成本等重點部門的監(jiān)管,“誰有權(quán)就監(jiān)督誰”。
與此同時,萬達的人員流動也開始加劇。我愛我家集團副總裁胡景暉透露,同樣擬回歸A股上市的富力地產(chǎn)、首創(chuàng)置業(yè),也是為了加速在商業(yè)地產(chǎn)方面的擴張,而不是商品房的開發(fā)。
被稱為商業(yè)地產(chǎn)龍頭的萬達集團,便成為人才被挖的“大本營”。陳寶存講述了一個自己聽到的段子,“去年我聽說,萬達的一個小員工,剛剛畢業(yè)一年,在萬達就掙5000元,結(jié)果就被一個別的房地產(chǎn)企業(yè)70萬年薪挖走了!”
段子是否真實,難以求證,但萬達在人事管理方面面臨的挑戰(zhàn)卻不可小覷。王健林也開始予以重視,去年萬達歷史上第一次實行全員漲薪,高管平均漲薪16.7%,不包括工齡工資,普通員工平均漲薪12%。同時,實行工齡工資翻倍,每月增幅達100元。
“基層員工只要在萬達干滿一年,工齡工資就多拿1200元;干滿五年,每年可多拿6000元工齡工資,相當于年年漲工資!蓖踅×终f,2012年還要加大對萬達學院的投入和發(fā)展,加強對員工的培訓。
與此同時,萬達速度光環(huán)的背后,也埋藏著質(zhì)量隱憂。早在2010年沈陽萬達大火,致死11人事故之后,就有人對萬達的激進擴張?zhí)岢鲑|(zhì)疑,更有人指出“萬達過于激進的擴張模式制約了工程的質(zhì)量保障”。
實際上,自2007年萬達啟動擴張計劃以來,類似的事故頻頻發(fā)生,上海寶山萬達廣場塌陷事故之前,2011年3月27日,鄭州中原萬達廣場2號裙樓已發(fā)生坍塌事故。
